Terms and Conditions

Definitions

  • Agreement: The legally binding documents, including the proposal, general terms, and all related materials.
  • Client Content: Any material, such as text or images, provided by the client for inclusion in the project.
  • Deliverables: The work specifically defined within the agreement and delivered by our team.
  • Designer Tools: All proprietary tools, code, software, fonts, platforms, and technologies developed by our company, regardless of patent status. This includes non-copyrightable elements like layout, navigation structure, and design architecture.
  • Final Deliverables: The completed deliverables as presented by our team to the client.
  • Project: The entire scope of work described in the agreement between the client and our company.
  • Services: All tasks performed and solutions provided by our company as described in the agreement or proposal.
  • Third Party Materials: Assets like stock images or illustrations sourced from external providers for use in the project.

Development Services

We agree to perform all development tasks as outlined in the proposal and formal agreement following the approved milestones.

Proposal / Scope of Work

All proposals are valid for 30 calendar days from the date of submission. If not approved within that period, we reserve the right to revise and resubmit the offer.

Compensation

  • Additional Costs: Expenses such as hosting, third-party licensing, or software subscriptions are invoiced separately from our development services.
  • Expenses: Any reimbursable expenses will be billed at actual cost.
  • Fees: All applicable fees and taxes must be paid by the client following the agreed project plan.

Payment

  • Invoices: Payments must be made within 5 business days upon receiving the invoice. Any expenses or third-party costs will be itemized.
    Payment Schedule: Due dates for payments are laid out in the milestone-based project schedule.

Changes to Project Scope

  • Change Request: Any change must be submitted in writing. We will respond within 5 working days to provide updated pricing, revised timelines, and modified project scope if necessary.
  • Minor Changes: Any changes deemed minor or costing under 20% of the total project budget will be billed at our standard hourly rate. Changes in deadlines will also be communicated. Additional costs are not subject to previously agreed caps.
  • Major Changes: Changes over 20% or classified as significant will require a revised or new proposal. Work will only resume once written approval is provided.
  • Acceptance of Proposals: The client must approve new proposals within 14 working days. If not approved, no additional work will be undertaken.

Delays

  • Client Delays: The client must respond promptly to requests for feedback, approvals, or materials. Project timelines will be extended accordingly for each day of delay.
  • Our Delays: If delays arise on our side, we will immediately notify the client via email.
  • External Delays: Any delays due to circumstances beyond either party’s control (natural disasters, strikes, war) will not be considered a breach of contract. Timelines will be extended accordingly.

Evaluation and Acceptance

  • Testing: All deliverables are tested using standard, industry-accepted methods before submission.
  • Approval Periods: The client has 7 working days to approve or reject any deliverable. Rejections must include written feedback. We will make revisions within 14 working days, after which the client has 7 more days for re-evaluation.

Client Responsibilities

The client agrees to cooperate in a timely and reasonable manner, including:

  • Ensuring that submitted materials are ready for integration without requiring additional processing.
  • Verifying and proofreading all content. Additional corrections will incur charges.
  • Making decisions regarding external vendors or resources on time.

Accreditation and Promotion

  • Accreditation: Unless otherwise agreed, we reserve the right to include an attribution link on all project pages.
  • Promotion: We may showcase completed work in portfolios, on our website, or across media for promotional purposes.
    Promotional Approval: Neither party may unreasonably deny permission to reference the project publicly. Each party should link to the other’s site.

Confidential Information

All shared data considered confidential by either party must be treated as such. Neither party shall disclose confidential information to external entities. Information already known or obtained without restriction is not subject to confidentiality.

Relationships

  • Third-Party Contractors: We may engage subcontractors to deliver parts of the project. We retain full responsibility for their output.
  • Exclusivity: No exclusive arrangement exists unless explicitly stated. Both parties may work with others.
  • Independent Contractor: Our role is that of an independent contractor. This agreement does not establish any form of employment, agency, or partnership. Deliverables are not considered “work for hire” unless specified by law.

Liability

We are not responsible for any damages or losses resulting from the use of our services. Our liability is limited to the total amount paid by the client.

Rights to Work Produced

  • License: The client receives a worldwide, perpetual, and non-exclusive license to use the final deliverables in their original format. No modifications or derivative works may be made without our consent.

Support Services

We provide commercially reasonable support for maintenance and updates. This support is billable at our hourly rate. If a third party modifies our work, the warranty is void and we assume no responsibility. 

We reserve the right to amend these Terms and Conditions at any time. Your continued use of this website and our services constitutes your acceptance of any future updates.
